Customer Agreement and Acceptable Use Policy

1. Customer Agreement

1.1 Parties

This Customer Agreement ("Agreement") is entered into between ETHRAEON Systems ("Provider") and the entity or individual subscribing to ETHRAEON services ("Customer"). By accessing or using ETHRAEON services, Customer agrees to be bound by this Agreement.

1.2 Services

Provider offers constitutional runtime governance services including evidence chain management, agent orchestration, compliance verification, and sovereign deployment infrastructure. Services are delivered through cloud-hosted Workers, dedicated tenant environments, or sovereign on-premises installations as specified in the applicable Service Order.

1.3 Service Tiers

Explorer: Development access, community support, shared infrastructure.

Professional: Production deployment, priority support, dedicated evidence chain.

Enterprise: Custom SLA, dedicated infrastructure, compliance documentation.

Sovereign: Air-gapped deployment, on-premises installation, full data sovereignty.

1.4 Term and Termination

This Agreement commences on the date Customer first accesses the Service and continues until terminated. Either party may terminate with 30 days written notice. Provider may terminate immediately upon material breach, including violation of the Acceptable Use Policy. Upon termination, Customer data is preserved for 90 days before secure deletion, unless longer retention is required by law or requested in writing.

1.5 Payment

Fees are as specified in the applicable Service Order or pricing page. All fees are non-refundable except as required by applicable law. Late payments accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is less.

1.6 Intellectual Property

Provider retains all rights in the Service, constitutional runtime, patent portfolio (16 filed across 9 families, 73 specifications), and associated technology. Customer retains all rights in Customer Data. Neither party acquires any rights in the other party's intellectual property except as expressly granted herein.

1.7 Confidentiality

Each party agrees to protect the other party's Confidential Information with the same degree of care it uses for its own confidential information (but no less than reasonable care). Confidential Information excludes information that is publicly available, independently developed, or rightfully received from a third party without restriction.

1.8 Data Protection

Provider processes Customer Data in accordance with the Data Processing Addendum (available upon request). Provider maintains evidence chain integrity per T5-RIGID constitutional governance: append-only, fail-closed, no fabrication. Tenant boundaries are cryptographically enforced per F4/F9 patent families.

1.9 Limitation of Liability

EXCEPT FOR BREACHES OF CONFIDENTIALITY OR INTELLECTUAL PROPERTY RIGHTS, NEITHER PARTY'S AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL EXCEED THE FEES PAID BY CUSTOMER IN THE 12 MONTHS PRECEDING THE CLAIM. NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

1.10 Warranties

Provider warrants that the Service will perform materially in accordance with applicable documentation. Provider does not warrant uninterrupted or error-free operation. THE FOREGOING WARRANTIES ARE EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

1.11 Governing Law

This Agreement is governed by the laws of the State of Delaware, without regard to conflict of laws principles. Any dispute arising under this Agreement shall be resolved in the state or federal courts located in Delaware.

2. Acceptable Use Policy

2.1 Permitted Use

Customer may use the Service for lawful business purposes in accordance with this Agreement and applicable documentation. Customer is responsible for all activities conducted under its account.

2.2 Prohibited Activities

Customer shall not:

  1. Use the Service to violate any applicable law, regulation, or third-party right.
  2. Attempt to circumvent constitutional governance controls, kill-switches, or evidence chain integrity mechanisms.
  3. Reverse engineer, decompile, or disassemble any portion of the Service except as expressly permitted by law.
  4. Use the Service to develop a competing product or service.
  5. Share account credentials or allow unauthorized access to the Service.
  6. Introduce malicious code, attempt injection attacks, or exploit vulnerabilities.
  7. Exceed rate limits or consume resources in a manner that degrades service for other tenants.
  8. Use the Service to process data that violates export control regulations or sanctions.
  9. Tamper with, forge, or remove attribution, evidence records, or audit trails.
  10. Use autonomous agents deployed through the Service to cause harm, generate deceptive content, or violate human sovereignty principles.

2.3 Enforcement

Provider enforces this policy through constitutional runtime mechanisms including capability token revocation (immediate), service halt (graceful), and account suspension. Violations trigger fail-closed behavior per T5-R5. Provider will notify Customer of violations when feasible and provide opportunity to cure within 5 business days for non-critical violations.

2.4 Reporting

Suspected violations may be reported to [email protected]. Provider will investigate reports within 48 hours and take appropriate enforcement action.

3. Service Level Agreement

3.1 Availability

Target Availability: 99.9% monthly uptime for Professional and above tiers.

Measurement: Calculated as total minutes minus downtime divided by total minutes in the calendar month.

Exclusions: Scheduled maintenance (with 72-hour notice), force majeure events, Customer-caused outages.

3.2 Support Response Times

Explorer: Best effort, community channels. Professional: 24-hour response, business hours. Enterprise: 4-hour response, 24/7 for critical issues. Sovereign: 1-hour response, dedicated support engineer.

3.3 Service Credits

If monthly availability falls below the target, Customer receives service credits: 10% credit for 99.0%-99.9%, 25% credit for 95.0%-99.0%, 50% credit for below 95.0%. Credits are applied to the next billing cycle and do not exceed 50% of monthly fees.

4. Constitutional Governance Guarantees

Evidence Chain Integrity

All operational actions produce hash-chained evidence records. Chain integrity is independently verifiable. Zero violations across full operational history (93 phases, 10,000+ operational turns).

Tenant Boundary Enforcement

Cryptographic isolation between tenants. No cross-tenant data access without explicit evidence-bound authorization. Supports sovereign and air-gapped deployment modes.

Kill-Switch Availability

Deterministic halt capability at every governance layer. 47 halt events in operational history; 100% clean resolution. Mean time to halt under 1 second for Layers 1-3.

Blast Radius Scoping

Every operation declares scope via capability tokens. Operations exceeding declared scope are rejected at the enforcement gate layer. Zero scope violations across operational history.
